These Terms & Conditions govern access to and use of Sonentra websites, software, CRM services, developer tools, APIs, white-label services, reseller services, integrations, implementation services and related digital products provided by SONENTRA LLC. By creating an account, placing an order, accepting an Order Form, activating a subscription or using a Sonentra service, you agree to these Terms.
1. Contracting party
Your agreement is with SONENTRA LLC, Registration No. 2026-002070741, 5830 E 2ND ST, STE 7000 #38521
Casper, WY 82609
United States. References to “Sonentra”, “we”, “us” and “our” mean SONENTRA LLC.
2. Eligibility and authority
You must have legal capacity to enter into this agreement. If you use or purchase Sonentra for an organization, you represent that you are authorized to bind that organization.
3. Services and plans
Sonentra may provide SaaS subscriptions, CRM and operational tools, API access, developer infrastructure, white-label and reseller capabilities, implementation, integrations, custom development, support and other professional or digital services. The exact scope, usage limits, features, price and term are determined by the checkout page, plan description, Order Form, invoice or separate written agreement applicable to your purchase.
4. Accounts and security
You are responsible for accurate account information, authorized users, passwords, API keys and activity performed through your account. Credentials and production API secrets must be protected from unauthorized disclosure. We may rotate, restrict or revoke credentials where reasonably necessary to address suspected compromise, fraud, abuse, non-payment or security risk.
5. API and developer rights
API access is a limited, revocable, non-exclusive, non-transferable right to use the Sonentra API for the purposes permitted by your plan. Unless expressly included in a reseller or white-label agreement, you may not sell, sublicense or transfer API credentials; bypass authentication, quotas or rate limits; interfere with the service; use the API for unlawful activity; or claim ownership of Sonentra software, APIs, documentation or underlying technology.
6. Fees, subscriptions and renewal
Prices, billing frequency and applicable taxes are disclosed at checkout, on an invoice or in an Order Form. Recurring subscriptions renew at the disclosed interval until cancelled in accordance with the applicable checkout, billing-provider rules and these Terms. Failure to use a service does not itself cancel a subscription or create a refund entitlement.
7. Paddle transactions
Where checkout identifies Paddle as Merchant of Record, the transaction is processed and fulfilled under Paddle’s applicable buyer terms and refund rules in addition to the Sonentra terms that govern use of our services. Nothing in these Terms limits a mandatory right or remedy that applies to a Paddle transaction.
8. Stripe and direct transactions
Where Sonentra charges you directly using Stripe or another payment service provider, SONENTRA LLC is the seller unless checkout expressly states otherwise. Sonentra’s applicable payment, cancellation and refund terms govern the purchase subject to mandatory law, payment-network rules and the provider’s applicable terms.
9. Cancellation and 30-day contractual termination notice
You may cancel automatic renewal using the cancellation method made available for your subscription, subject to the applicable billing provider’s rules. Separately, where an Order Form, Enterprise, managed-service, white-label, reseller, implementation or other service agreement requires advance termination notice, you must give Sonentra at least thirty (30) days’ written notice before the requested termination date unless a different period is stated in that agreement or required by law. A termination notice is not a refund request and does not create a right to reimbursement for amounts already paid, earned, provisioned or committed.
10. Refunds
Except where required by applicable law or by the governing terms of the applicable Merchant of Record, Sonentra products and services are non-refundable after purchase, activation, provisioning, delivery, allocation of resources or commencement of work, as applicable. The separate Refund & Cancellation Policy forms part of these Terms.
11. Custom, implementation and professional services
Project scope, milestones and deliverables may be stated in an Order Form, statement of work or invoice. Setup, implementation, customization, migration, consulting and development fees become non-refundable once the relevant work or resource allocation has commenced, except where a non-waivable legal right applies.
12. Customer responsibilities
You must provide information, approvals, credentials and materials reasonably required to deliver the service. You are responsible for having all rights, permissions and lawful bases required for content and data you submit or process through Sonentra and for complying with laws applicable to your business and end users.
13. Intellectual property
Sonentra and its licensors retain all rights in the platform, source code, APIs, documentation, workflows, designs, trademarks and underlying technology. Customers retain rights in their own content and data and grant Sonentra the limited rights reasonably necessary to host, process, transmit, secure, back up and provide the contracted services. White-label rights affect presentation and branding only to the extent expressly purchased and do not transfer ownership of Sonentra’s underlying technology.
14. Availability and changes
We work to maintain reliable services but do not promise uninterrupted or error-free availability unless a separate written service-level agreement says otherwise. Maintenance, security events, third-party infrastructure, network failures and circumstances beyond reasonable control may affect availability. We may make reasonable technical, security and product changes and may deprecate API functionality with notice where reasonably practicable.
15. Suspension and termination by Sonentra
We may restrict or suspend access for material breach, non-payment, fraud, security threats, unlawful activity, credential abuse, infringement, attacks on the service or conduct that creates material risk to Sonentra, our users or partners. Immediate action may be taken where reasonably necessary for security, legal or fraud-prevention reasons.
16. Chargebacks and billing disputes
Please contact us promptly about suspected billing errors. Where a payment is disputed, we may provide the payment provider with relevant transaction, account, activation, usage and service-delivery records to establish the facts of the transaction, subject to applicable privacy law. A payment dispute does not by itself cancel an underlying contractual obligation.
17. Distribution network and third-party services
Sonentra provides access to a global distribution network of 270+ digital service providers (DSPs) and stores. Network access does not guarantee that every destination will be available to every customer, release, territory or content type, or that a DSP or store will accept, publish, monetize or continue carrying any particular release. Availability, eligibility, delivery, review, publication and continued availability may depend on territory, content requirements, metadata, rights, technical capabilities and the independent rules and decisions of each destination.
Integrations and external services may be subject to third-party terms, policies, availability and technical limitations. Sonentra is not responsible for a third party’s independent services, moderation decisions, catalogue requirements, outages or changes outside our reasonable control.
18. Disclaimers
To the maximum extent permitted by law, Sonentra services are provided without warranties not expressly stated in a written agreement. We do not guarantee particular revenue, sales, commercial results or uninterrupted operation.
19. Limitation of liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, exemplary or consequential loss arising from these Terms. Any contractual liability cap stated in an applicable Order Form or separate agreement will apply. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
20. Mandatory rights
Nothing in these Terms excludes, restricts or modifies any consumer right, statutory withdrawal right, refund right, warranty, remedy or other protection that cannot lawfully be excluded, restricted or modified. Where mandatory law or the governing terms of a Merchant of Record provide greater mandatory protection, that protection applies.
21. Changes to these Terms
We may update these Terms to reflect changes to our services, law, security requirements or commercial operations. The current version and effective date will be published on this page. Material changes will be communicated where required.
